Terms of use
Last updated 13 October 2026
In short
- RiseFlow is school management software created and owned by Henry Ugochukwu and provided by Zentrix Software Solutions.
- Your school owns its data. We store and process it for your school, as our Privacy Policy explains.
- Schools pay per student per term, after a free trial, or buy their own copy of the software under a separate written agreement.
- Use RiseFlow lawfully and honestly: no forged or altered documents, no misuse of other people's data, no attacks on the service.
- Nigerian law applies. We try to settle any disagreement by talking first.
1. Who we are
RiseFlow (riseflowschools.com) is created and owned by Henry Ugochukwu and provided by Zentrix Software Solutions, a business registered in Nigeria, at 27, Alor Street, Otukpo, Benue State, Nigeria ("RiseFlow", "we", "us"). You can reach us at ugochukwuhenry@riseflowschools.com.
2. Accepting these terms
These terms apply to everyone who uses RiseFlow: the schools that register, their owners, administrators and staff, parents and guardians, students, and RiseFlow partners (affiliates). By registering a school, signing in, or using RiseFlow, you agree to these terms and to our Privacy Policy, which forms part of them.
The person who registers a school accepts these terms on behalf of the school and confirms they are allowed to do so. Students under 18 use RiseFlow through accounts created by their school or parents, who are responsible for that use. If you do not agree to these terms, do not use RiseFlow.
3. Changes to these terms
We may update these terms as RiseFlow and the law change. We will publish the new version on this page with its date. For important changes, we will also tell school owners by email or in RiseFlow before they take effect. If you keep using RiseFlow after a change takes effect, you accept the updated terms. Changes do not apply to a dispute we were already aware of before the change.
4. Accounts and security
- Give accurate details when you register or are added to RiseFlow, and keep them up to date.
- Your account is personal to you. Keep your password and one-time codes to yourself, and sign out on shared or public devices.
- Tell your school, or us at ugochukwuhenry@riseflowschools.com, straight away if you think someone else has used your account.
- School owners decide who in their school has an account and what each person can see and do. They are responsible for removing access when someone leaves.
- We may suspend an account that we reasonably believe is being misused, is putting others at risk, or breaks these terms. Where we can, we will tell the school first.
5. Your school's data
Your school owns the information it puts into RiseFlow: student, parent and staff records, results, attendance, fees and documents. For those records the school is the data controller and RiseFlow is the data processor: we store and process them only to provide RiseFlow to the school, on its instructions, as set out in our Privacy Policy.
The school is responsible for having a lawful basis to record that information (including consent from parents where the law requires it), for keeping it accurate, and for answering requests from parents, students and staff about their data, under the Nigeria Data Protection Act 2023 and the data protection laws of its own country.
You can export your school's data at any time. When a school closes its RiseFlow account it can ask us to delete its data, as the Privacy Policy describes.
6. Free trial, subscriptions and payment
- Free trial. A newly registered school can use RiseFlow free for a trial period (currently 1 week). The trial's end date is shown on the school's Billing page.
- Subscription. After that, the school pays per student per term (a term is 3 months), for 3, 6 or 12 months at a time, at the price shown on its Billing page before it pays. Outside Nigeria, prices are converted to the school's currency where available.
- Who counts. Every student on the school's roll at any time during a paid period counts for that period, including students who later leave; nobody is counted twice. Students added during a paid period are paid for as a top-up.
- Paying. Payments are processed by Paystack. We never see or store card details. The amount is shown before you pay, and you receive a receipt for every payment.
- Late payment. If a payment or top-up is not made when due, access to the school's account may be paused until it is paid. The school's data is kept safe while access is paused.
- Price changes. We may change prices for future periods. We will tell school owners before a new price applies to them; it never changes a period already paid for.
- Refunds. Payments are for the period paid and are not refundable, except where the law requires a refund or we agree to one in writing (for example, if we charged you in error).
7. Buying your own copy of the software
A school can instead buy its own copy of the RiseFlow school management software for a one-time price, quoted in writing for that school. The quote and its written terms (including maintenance, hosting and payment in instalments) form a separate agreement and take priority over these terms where they differ. The school owns its copy of the software; the RiseFlow name, brand and the underlying platform remain the property of Henry Ugochukwu, RiseFlow's creator.
8. Acceptable use
Use RiseFlow only for running your school or following your child's schooling, lawfully and in line with these terms. You must not:
- break any law, or use RiseFlow to harass, threaten, defame or discriminate against anyone;
- record or share personal information you have no right to, or look at records you are not authorised to see;
- create, alter or present forged results, report cards, receipts, certificates or testimonials, or misuse their QR verification codes;
- upload anything that is unlawful, obscene or harmful to children, or that infringes someone else's rights;
- send spam or unsolicited advertising through RiseFlow;
- pretend to be someone else, including RiseFlow staff or another school;
- try to access other schools' data, our servers or other accounts without permission, or test, probe or break our security;
- introduce viruses or harmful code, overload the service (including denial-of-service attacks), or use bots or scrapers to copy RiseFlow or its content;
- copy, resell, rent or reverse-engineer RiseFlow, or use it to build a competing product.
9. Documents and verification
Results, report cards, receipts, certificates and testimonials produced in RiseFlow carry a QR code and verification link so anyone can check they are genuine. The school that issues a document is responsible for its contents being correct. A school can cancel a document it issued in error, after which verification shows it as no longer valid.
10. RiseFlow partners (affiliates)
Partners introduce schools to RiseFlow and earn commission at the rates shown in their partner dashboard, when the schools they referred pay. Partners must describe RiseFlow honestly, must not send spam or make promises on our behalf, and must not pay or pressure schools to sign up. We may withhold commission earned through fraud, misleading claims or self-referral, and may suspend a partner who breaks these terms. Commission is paid to the bank account the partner gives us.
11. Our software and your content
RiseFlow, its software, name, brand, design, logos and content (other than schools' data) are owned by Henry Ugochukwu, who created RiseFlow, and are provided to you by Zentrix Software Solutions. They are protected by copyright and other laws. We give you a limited, non-exclusive, non-transferable right to use RiseFlow while your school's account is active, in line with these terms.
Your school keeps all rights in the information and files it adds. You allow us to host, copy, process and display them only as needed to provide RiseFlow to your school.
12. Services from other providers
RiseFlow uses trusted providers to run: Supabase and Railway (hosting and storage), Resend (email), Termii (text messages) and Paystack (payments). Their own terms apply to their services. Links to other websites are for convenience; we are not responsible for their content.
13. Availability and changes to RiseFlow
We work to keep RiseFlow available, secure and backed up, but it may occasionally be unavailable for maintenance or reasons outside our control. We improve RiseFlow over time and may change or remove features; if we remove an important feature a school relies on, we will tell school owners in advance where we can. Keep your own copies of anything critical: you can export your school's data at any time.
14. Ending your use of RiseFlow
A school can stop using RiseFlow at any time by not renewing its subscription. Before closing, export any data you need. We may suspend or close an account for a serious or repeated breach of these terms, or if we are required to by law. After closure, the school can ask us to delete its data as described in the Privacy Policy.
15. No warranty
We provide RiseFlow with reasonable care and skill. Beyond that, and as far as the law allows, RiseFlow is provided "as is" and "as available": we do not promise that it will be free of errors or interruptions, or that it will meet every need of every school. Nothing in these terms limits rights you have under consumer protection law, including the Federal Competition and Consumer Protection Act 2018, that cannot be limited.
16. Limitation of liability
As far as the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost opportunities or lost goodwill, or for losses caused by events outside our reasonable control. Our total liability to a school for any claim relating to RiseFlow is limited to the amount the school paid us in the 12 months before the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
17. Indemnity
If someone makes a claim against us because of information a school or user put into RiseFlow without the right to do so, or because of a breach of these terms, the school or user responsible agrees to cover our reasonable losses and costs arising from that claim.
18. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If a disagreement arises, please contact us first at ugochukwuhenry@riseflowschools.com; we will try to resolve it within 30 days. If it is not resolved, either side may refer it to mediation or to arbitration in Nigeria under the Arbitration and Mediation Act 2023, or bring it before a court in Nigeria with jurisdiction. Nothing stops either side from seeking urgent relief from a court.
19. General
- These terms, the Privacy Policy and any written agreement for buying the software are the whole agreement between you and us about RiseFlow.
- If any part of these terms is found invalid, the rest continues to apply.
- If we do not enforce a right straight away, we can still enforce it later.
- We may transfer our rights and obligations under these terms to a company that takes over RiseFlow, and will tell school owners if we do.
